Terms and Conditions

1. Agreement to Terms

By engaging the services of RepuThrive.com ("RepuThrive," "we," "us," or "our"), you ("Client") agree to be bound by these Terms of Service ("Agreement"). This Agreement constitutes the entire understanding between RepuThrive and the Client regarding the services described herein. If you do not agree to these terms, do not engage our services.

 

2. Services Provided

RepuThrive provides the following reputation management services to clients:

 

2.1 Review Generation

RepuThrive will deploy automated and semi-automated outreach campaigns to solicit reviews from your customers via SMS and/or email. This includes setup, management, and ongoing optimization of review request campaigns through our platform.

 

2.2 Reputation Monitoring

RepuThrive will monitor your business’s online reputation across major review platforms and alert you to new reviews, ratings changes, and relevant mentions of your business online.

 

2.3 Review Response Management

RepuThrive will manage responses to customer reviews on your behalf according to guidelines agreed upon during onboarding. The Client acknowledges that all responses will be made in the Client’s name and grants RepuThrive authority to act in this capacity.

 

3. Client Responsibilities

To enable RepuThrive to deliver services effectively, the Client agrees to:

       Provide accurate business information including legal name, address, website, and EIN (if applicable) during onboarding

       Supply customer contact information (name, phone number, and/or email) in a timely manner for review outreach campaigns

       Ensure that all customer contact information provided has been collected in compliance with applicable laws, including proper consent for SMS and email communications

       Provide timely access to any platforms or accounts necessary for the delivery of services

       Notify RepuThrive promptly of any changes to business information, branding, or platform credentials

       Respond to RepuThrive communications within a reasonable timeframe to avoid delays in service delivery

 

4. Payment Terms

RepuThrive offers services on both a monthly retainer basis and as one-time fee engagements, as specified in the Client’s service agreement or invoice.

 

4.1 Monthly Retainer

Monthly fees are billed in advance at the beginning of each billing cycle. Failure to pay within 7 days of the due date may result in suspension of services. Continued non-payment beyond 14 days may result in termination of services.

 

4.2 One-Time Fees

One-time setup fees, onboarding fees, and any other non-recurring fees are due prior to commencement of the associated work unless otherwise agreed upon in writing.

 

4.3 Late Payments

Accounts past due by more than 14 days may be subject to a late fee of 1.5% per month on the outstanding balance. RepuThrive reserves the right to suspend services on any past-due account until payment is received.

 

5. Refund Policy

All fees paid to RepuThrive are non-refundable. This includes but is not limited to monthly retainer fees, one-time setup fees, onboarding fees, and any third-party costs (such as SMS fees, phone number costs, or platform registration fees) incurred on the Client’s behalf. By engaging RepuThrive’s services, the Client acknowledges and accepts this no-refund policy.

RepuThrive does not guarantee specific outcomes such as a minimum number of reviews, a specific star rating, or removal of existing negative reviews. Results vary based on factors outside RepuThrive’s control, including customer participation and platform policies.

 

6. Cancellation

Either party may terminate this Agreement with 30 days’ written notice. Notice must be provided via email to the contact information on file. The Client remains responsible for all fees due through the end of the notice period. Upon cancellation:

       RepuThrive will cease all active campaigns and outreach on the Client’s behalf

       Any phone numbers provisioned by RepuThrive remain the property of RepuThrive unless otherwise agreed in writing

       RepuThrive will provide reasonable assistance in the transition of account access upon request

 

7. SMS & Communications Compliance

RepuThrive operates SMS and email communications on behalf of clients in compliance with applicable regulations including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act. The Client agrees to:

       Only provide contact information for individuals who have a legitimate existing relationship with the Client’s business

       Not use RepuThrive’s services to send unsolicited communications to individuals who have not consented to receive them

       Honor all opt-out requests promptly and notify RepuThrive of any opt-out requests received directly

The Client assumes full legal responsibility for the accuracy and compliance of the customer contact data they provide. RepuThrive is not liable for any regulatory penalties arising from non-compliant data provided by the Client.

 

8. Intellectual Property

All tools, systems, workflows, templates, and processes developed or used by RepuThrive in delivering services remain the exclusive intellectual property of RepuThrive. Nothing in this Agreement grants the Client any license to RepuThrive’s proprietary systems or methods.

Content created specifically for the Client (such as customized response templates approved by the Client) may be used by the Client following termination of this Agreement.

 

9. Limitation of Liability

To the maximum extent permitted by applicable law, RepuThrive’s total liability to the Client for any claim arising out of or related to these services shall not exceed the total fees paid by the Client in the 30 days preceding the claim.

RepuThrive shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of business, or reputational harm arising from actions taken by third-party platforms, customers, or review sites outside RepuThrive’s control.

 

10. Disclaimer of Warranties

RepuThrive provides services on an “as-is” basis. We make no warranties, express or implied, regarding the outcome of reputation management campaigns, including but not limited to the number of reviews generated, improvement in star ratings, or removal of negative content. Review platforms operate independently and may change their policies at any time.

 

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this engagement. RepuThrive will not share Client business information, customer data, or campaign details with third parties except as required to deliver the services (e.g., platform integrations) or as required by law.

 

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of Kentucky, and both parties consent to personal jurisdiction in that forum.

 

13. Modifications to Terms

RepuThrive reserves the right to update or modify these Terms of Service at any time. Clients will be notified of material changes via email or written notice at least 14 days prior to the changes taking effect. Continued use of RepuThrive’s services after the effective date of any changes constitutes acceptance of the updated terms.

 

14. Entire Agreement

This Agreement, together with any signed service agreement or proposal, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter herein.
